Freelance Paralegal — Corporate, Tax & Transactions - Part Time
• This is a 1099 independent contractor position. Hours are variable, typically around 5 hours per week, but will fluctuate based on deal activity. Some weeks will be lighter, others busier. We need someone who can flex up when things are active and is comfortable with that rhythm. This is a great fit for an experienced paralegal looking for flexible, meaningful work on the side. The role We're looking for an experienced paralegal to provide flexible, on-demand support to our team. You'll primarily support a managing partner (M&A / corporate), a tax and fund transactions partner, and a litigation and transactional partner with additional support across the team as needed. Work is project-based and deal-driven. You'll be looped in when things are active and given space when they're not. What you'll do
- Support M&A and corporate deal flow. Diligence organization, closing checklists, binder preparation, entity research and formation
- Assist with tax and fund matters including entity structure documentation, signature packages, and regulatory deadline tracking
- Provide litigation support: drafting and organizing pleadings, discovery management, court filings, and trial preparation assistance
- Draft and proofread legal documents including NDAs, resolutions, correspondence, and ancillary transaction documents
- Manage matter files and documents across practice management platforms
- Conduct legal research, good standing checks, and state-specific compliance verification
- Coordinate across attorneys, clients, and counterparties as needed on active matters
What we're looking for
- 2+ years of paralegal experience in a transactional, corporate, or tax practice (law firm or in-house)
- Experience with corporate diligence, entity management, or fund administration is a strong plus
- Familiarity with M&A deal flow and closing mechanics preferred
- Ability to work independently, manage your own priorities, and communicate proactively in a remote environment
- Flexibility to increase availability when matters are active
- Paralegal certificate or bachelor's degree preferred
- Proficiency in Microsoft Office; experience with Clio, NetDocuments, or similar tools a plus
- High attention to detail, strong written communication, and discretion with confidential matters
- Discretion with confidential client matters. Our work involves sensitive business transactions
Nice to have
- Experience with investment fund structures, venture capital, or family office matters
- Exposure to multi-state corporate compliance and entity management
- Interest in legal technology and process improvement
