Agency: LegalCORPS is Minnesota's only statewide business law pro bono program. In response to an unmet need for equitable transactional business law services, LegalCORPS has filled that gap with a roster of over 600 pro bono attorneys, as well as staff attorneys. Our mission is to expand access to business law services for individuals and organizations to promote economic development and strengthen communities. LegalCORPS offers non-litigation transactional business and intellectual property protection legal aid to entrepreneurs, business owners, inventors, and nonprofits with limited resources and/or access to the legal system. Position Summary: The ideal candidate will have broad knowledge and experience in a variety of business transactional matters, including advice and/or drafting documents for various entity structures, operating agreements & contracts, employment & HR matters and business risk & liability matters. Experience with nonprofit law, particularly governance, reporting requirements and formation protocols is a plus. This position will supervise the organization’s staff attorney(s) and interns/externs. The candidate should be enthusiastic about and committed to the LegalCORPS Core Values: Client-focused Collaborative Culturally Responsive Enterprising Versatile Volunteer-centered Supervision Responsibilities: · Assisting in present CLEs and other training programs for volunteer attorneys on business law topics in the Twin Cities and Greater Minnesota;

  • Stay up to date with state and federal policy regarding transactional small business and non-profit law, including but not limited to compliance, tax law, employment law, conflicts of interest and required disclosures ;
  • Maintain relationships with state and federal agencies regarding small business and nonprofit compliance and policy changes;
  • Assist programs director with recruiting pro bono attorneys and firm relationships;

· Oversee staff attorneys and legal interns/externs, providing supervision where appropriate; Direct Client Service Responsibilities:

  • Conduct legal risk assessments of board policies and practices;
  • Review non-profit records, including articles of incorporation, tax filings, and board governance documents;
  • Assess legal risks, including but not limited to charitable purposes, donations, and maintaining federal income tax exemption;
  • Assist individuals with incorporation of non-profit entities, including assistance with federal applications for exemption;
  • Periodically update legal resources for non-profit directors and other executive personnel;
  • Present legal educational workshops on a variety of business law matters virtually and in-person across the state;
  • Provide trainings and related resources to non-profit entities;

· Draft recommendations for individual non-profits seeking compliance with federal and state law; communicate with nonprofit leadership and boards when necessary. · Maintain accurate database of clients and matters; including outcomes tracking; · Work with other programs staff to refer clients to pro bono attorneys when necessary. Required Qualifications: · A Juris Doctorate Degree · Admitted to practice and in good standing in Minnesota or eligible for admission by reciprocity · 4+ years’ experience as a practicing attorney representing clients · Must possess the highest level of professionalism, work ethic and integrity with the ability to maintain confidential information · Demonstrated ability to engage and to complete legal transactions quickly and effectively, while balancing business expectations with legal and regulatory compliance objectives in a timely manner · Ability to quickly research various areas of the law and become knowledgeable on the subject matter · Strong interpersonal and communications skills, including the ability to adapt to the needs of diverse constituencies as necessary · Proficiency in technology use, such as Microsoft Office applications or other database software for recordkeeping and reporting systems, familiarity with video conferencing platforms · High degree of initiative and good judgment with the ability to work independently · Ability to handle multiple tasks with varying deadlines; flexibility is critical in small nonprofit work environments · Proven organizational skills and detail-oriented · Demonstrated interest in and commitment to servicing the needs of low income individuals and/or businesses · Ability to travel statewide to clinics and partner organizations throughout the state Preferred Qualifications: · Proven knowledge of Minnesota transactional business law a plus · Experience working with pro bono organization, legal aid, or nonprofits · Experience working in diverse economic, social and cultural environments · Knowledge of community legal resources · Proven public speaking ability · Ability to speak another language (Spanish, Hmong, Somali) Work Location: Work Location: Office located at Minneapolis University of St. Thomas campus, 1000 LaSalle Ave, TMH 331, Minneapolis, MN 55403. This position is currently expected to be a hybrid, meaning 2-3 days per week in the office. Hybrid work arrangement is subject to change.
