Your experience with other fast growing technology companies will help you craft efficient and effective management systems while taking direct responsibility for defining and implementating Voicera’s legal strategy and supporting the CEO in the fundraising/investor conversations. The ideal candidate will have a strong personal drive for results, a commitment to teamwork in support of the company’s success, adherence to ethical business practices, and comfort operating in a start-up environment with a remote team and an ability to prioritize and drive actions to closure. Reporting to Voicera’s CEO, the Co-Founder and CLO will lead the Company’s Legal activities: > Responsibilities/Qualifications/Essential job Functions
- Drive the Legal & IP protection strategies;
- Take initiatives and prioritize activities;
- Take ownership of a good foundation of legal documents created by the previous Chief Legal Officer, Steven Blake;
- Continue to organize all legal documents for the Founders (equity grant, NDA, IP assignment, etc.)
- Maintain the company in good standing with Delaware & Federal Government, with regards to compliance, reporting and taxes;
- Create or adapt contracts such as Licensing, SaaS subscription, partnership, reseller, advisory.
- Oversee all financial & administrative functions of the Company, ensuring smooth daily operations.
- Perform other job-related duties as required by the CEO from time-to-time.
> Skills and Expertise:
- Bachelor’s degree in Law. An MBA or relevant graduate degree a plus.
- Substantial experience with Legal roles for tech companies.
- Experience and success in preparing for, negotiating, and closing debt and/or equity capital raises.
- Excellent people skills, with an ability to partner with a dynamic leadership team.
- Personal qualities of honesty, integrity, trustworthiness, credibility, and commitment to Voicera’s mission.
> Compensation:
- Equity in the form of a grant of restricted shares in Voicera AI Inc., subject to a four-year vesting schedule. 2 – 4% of the total Founder equity (10 M shares), depending on experience, performance and commitment.
- Salary and benefits on terms consistent with the responsibilities of the CLO role and with those offered to other members of Voicera’s leadership team upon the successful close of a round (or rounds) of outside financing totaling at least $1 million.
